Terms of sale

These terms of sale (the "Terms of Sale") apply to any purchase made on Future Agent from Ghost World Society, 2810 N Church St STE 89870, Wilmington, DE 19802, United States: an agent subscription, a plan, a revision tier for a project, and any paid option offered in the service. They supplement the terms of use.

They apply to consumers and businesses alike. Rules specific to consumers are identified as such.

An agent subscription

Each agent has a fixed monthly price, calculated by the architect according to the difficulty of the task (number of tools, frequency, complexity) and shown before launch. It covers all of the agent's runs within the limits described under "Quotas and limits". An agent's price never changes without your agreement: if you edit the agent and its price changes, the new amount is shown to you before you confirm.

Designing an agent, answering questions, connecting your tools and seeing a sample is free. For a project agent (a website, for example), the first build and 2 revisions of the preview are free; the subscription then covers hosting, maintenance and a monthly revision quota.

Plans

A plan is optional. It includes a number of agents and gives a discount on additional ones:

The included agents are, among your active agents priced at or below the plan's cap, the most expensive ones. The amount for each agent with your plan applied ("included", discounted price) is shown before launch and on the Billing page.

Project revision tiers

The price of each tier is shown before you choose it.

Prices are shown in euros, including all taxes (VAT included): the amount shown at launch is the amount charged each month. No run fees, credits or usage-based surcharges are added.

Only certain one-off purchases, such as buying a new domain name, are billed separately. They are always shown to you with their exact price and are only made after your explicit confirmation.

We may change our prices. Any increase in the price of an ongoing subscription is announced at least 30 days before it applies; you may cancel before that date.

You place an order by clicking "Launch agent" (or the button to choose a plan or a tier), after creating your account. The first time, you are taken to Stripe's secure page, which summarizes the monthly amount and, where applicable, the end date of the free trial before you confirm, and you save your card there. After that, agents launch in one click with the saved card (see "Saved card"), once their price has been shown to you.

Payment is processed by Stripe. We never receive or store your card numbers. The contract is concluded when the order is confirmed: when the card is saved for an agent on trial, when payment is confirmed, or at launch for an agent included in your plan or covered by the welcome offer.

Each paid agent has its own monthly subscription, with its own billing date; your plan, if you have one, has its own. Agents launched before the free trial was introduced may stay grouped in a single subscription, one line per agent.

• Length: every agent, whatever its price, comes with a 7-day free trial starting at launch. During the trial, the agent runs normally, within the limits described under "Quotas and limits".
• Card: a valid payment card is requested at launch and saved by Stripe. Nothing is charged during the trial; your bank may only verify the card.
• First charge: when the trial ends, 7 days after launch, the monthly price shown at launch is charged to the saved card, and the subscription then renews every month (see "Term and renewal"). If this first charge fails, the agent stops until payment.
• Cancelling during the trial: from the dashboard, in one click ("Cancel trial"), by pausing the agent or deleting it. The agent stops, nothing is charged and no fee applies.
• One trial per agent: the trial applies only once per agent. An agent resumed during its trial keeps its original end date; if less than 48 hours remain, or if the trial is over, it is charged as soon as it resumes. We may refuse a new trial to an agent recreated identically for the same task.
• Cancelled trials: after 3 trials cancelled before they end, the account's next agents start without a trial period. Their price is shown before launch.
• Abuse: we may refuse or end a trial in case of clear abuse, for example repeatedly creating agents or accounts solely to chain trials. The agent is then offered to you without a trial period, with its price shown before you confirm.

An agent included in your plan or covered by the welcome offer is not billed separately, so the trial does not apply to it.

• Amount and length: every new account receives, without a card, a credit of €9 per month for 3 consecutive months from its activation. This credit covers the monthly price of your agents, for example one agent at €9 or two agents at €4.
• Use: a month's credit does not carry over to the next month; it is not refundable, transferable or exchangeable for cash. An agent priced above the available credit follows the usual terms (free trial, then subscription).
• One offer per person: it is reserved for new accounts that have not paid anything yet and granted only once per person. Opening several accounts to benefit from it more than once is prohibited.
• Price change: if the price of a covered agent goes up (model, schedule, edit tier) beyond the credit, that agent leaves the offer and follows the usual terms, without a free trial.
• Fraud prevention: to check that it has not already been granted, we compare a pseudonymised fingerprint (hashed with a secret key) of the IP address used at activation, the card fingerprint provided by Stripe once a card is saved and, where applicable, the phone number. These data are used for this check only (see the privacy policy). If the offer has already been used, it is not granted or may be withdrawn; contact us if you believe this is a mistake.
• End of the offer: after 3 months, the offer ends. We let you know beforehand with a banner in your dashboard, and on WhatsApp if your number is linked. The agents it covered keep running if a card is saved, and are then billed at their usual monthly price, without a free trial. Without a card, they are paused at no cost; adding a card restarts the ones the end of the offer stopped, at their usual price.

Your card is saved by Stripe with your first order. By saving it, you authorize Ghost World Society, through Stripe, to charge this card for the subscriptions you launch, on each due date and until they are cancelled (recurring payments). This authorization serves as a mandate for these charges.

Your next agents launch in one click with this card: their price is shown to you before each launch, and clicking "Launch agent" means you agree to that new subscription. We only keep the card's brand, last four digits, expiry date and a fingerprint, to display it and to prevent fraud.

You can replace your card at any time with the "Change card" button on the Billing page (secure Stripe page, nothing charged): the new card is then used for all your subscriptions. Without a valid card, subsequent charges fail: see "Payment failure".

The subscription has no minimum term. It is taken out for one month and renews automatically each month, on the same day of the month, until it is cancelled. The amount for each period is charged at the start of that period. For an agent launched with the free trial, the first period starts when the trial ends.

• Higher plan or new agent: the change takes effect immediately; the difference for the current period is prorated over the remaining days.
• Higher revision tier: it takes effect immediately and the prorated difference is billed right away.
• Lower plan or tier, or agent paused: the change takes effect immediately; the unused amount is prorated and credited to your next invoice.

Adding or removing an agent can change which agents are included in your plan; amounts are then recalculated in the same way. Resuming a paused agent restarts its billing.

To stop an agent, pause or delete it from the dashboard: its subscription is cancelled right away and no further charges are made (the unused amount is credited pro rata, see the previous section). For an agent on trial, "Cancel trial" does the same, at no cost.

Your plan, and agents grouped in an older single subscription, can be cancelled online from the Billing page, which opens Stripe's secure portal. Cancellation takes effect at the end of the current monthly period: these agents keep running until then, are then paused, and your account returns to the Free plan. No further charges are made.

To stop a single agent without cancelling the rest, pause it from the dashboard (see the previous section). A published website stops being served once its agent is no longer active.

We may terminate a subscription in the event of a serious breach of the terms of use or persistent non-payment, after informing you.

If you are a consumer, you have 14 days from the conclusion of the contract to withdraw from it, without giving any reason. During the free trial, nothing is charged: cancelling the agent before the trial ends is enough and costs nothing.

Immediate performance

An agent starts working as soon as it is launched. By clicking "Launch agent", you expressly request that the service begin before the end of the withdrawal period. If you then withdraw, we refund the amount paid, minus the share corresponding to the service provided up to your request, calculated pro rata.

Under article L221-28 of the French Consumer Code (and the corresponding provisions of Directive 2011/83/EU), the right of withdrawal can no longer be exercised for a service fully performed before the end of the period, where performance began with your prior express consent and you acknowledged that you would lose this right. This exception only applies if that consent and acknowledgment were requested from you when you placed the order.

How to withdraw

Send a clear statement to [email protected] or by mail to Ghost World Society, 2810 N Church St STE 89870, Wilmington, DE 19802, United States. You may use the model form below, but you do not have to. The refund is made within 14 days of receiving your request, using the payment method you used.

Apart from the right of withdrawal, the legal guarantee of conformity and the prorated credits described above, a period that has started is not refunded. If the service was unavailable, or an agent could not run because of us, for a significant length of time, write to us: we review every request and may offer a goodwill gesture.

• Storage: files produced by your agents, their shared tables, versions of your websites and the text of their memory use your storage space (1 GB with Free, 25 GB with Pro, 200 GB with Studio). You are notified at 80%. Once the space is full, nothing new can be saved until you free up space or change plans. An uploaded file cannot exceed 25 MB.
• Project revisions: your tier's quota resets with each paid period; unused revisions do not carry over. Once it is reached, you can wait for the next period or move up to the next tier.
• Usage: daily limits on messages and builds apply, with higher limits for accounts with an active agent. Each agent has a monthly run capacity suited to its price; if it reaches it, it switches to economy mode and then waits for the next period, at no extra cost, and you can adjust its subscription.

An invoice is issued with each payment. You can find all your invoices, and update your billing details (name, address, VAT number), in the Stripe portal available from the Billing page.

If a payment fails, Stripe retries it and asks you to update your payment method. During this time, your agents may keep running, but the revision quota for projects is not renewed. If the payment is not settled, the subscription may be cancelled and your agents paused; you can restart them once payment is settled. For business customers, any amount unpaid when due may give rise to the late-payment penalties provided for by applicable law.

Consumers benefit from the legal guarantee of conformity for digital content and services (articles L224-25-1 et seq. of the French Consumer Code, implementing Directive (EU) 2019/770) for the entire duration of the subscription. If there is a defect, write to us: we will bring the service into conformity within a reasonable time or, failing that, you may obtain a price reduction or terminate the contract.

The governing law and competent courts are set out in the terms of use. If you are a consumer, you keep the protection of the law of your country of residence and may bring proceedings before the courts where you live.
